Our Trading Protocol
Phase 1: Contractual Initiation
• Step 1 | Letter of Intent (LOI): Buyer issues formal LOI specifying quantity, target LME discount, and banking coordinates.
• Step 2 | Corporate Offer (FCO): NIWA responds with a Full Corporate Offer and Client Information Sheet (CIS) for verification.
• Step 3 | Sales Agreement (SPA): Both parties execute a legally binding SPA defining delivery, inspection, and payment terms.
Phase 2: Verification & Inspection
• Step 4 | Proof of Product (POP): NIWA provides redacted warehouse receipts or previous assay reports to trigger the inspection phase.
• Step 5 | Q&Q Inspection: Buyer appoints SGS or CCIC for full assay and weight verification at our bonded warehouse in Dar es Salaam.
Phase 3: Settlement & Transfer
• Step 6 | Commercial Invoice: Final invoice issued based on the LME spot price (minus agreed discount) upon assay results.
• Step 7 | Financial Execution: Payment via MT103/TT or activation of DLC as per SPA terms.
• Step 8 | Title Transfer: Original ownership documents and Warehouse Release Orders are issued immediately upon cleared funds.
Phase 4: Logistics & Compliance
• Step 9 | Export Clearance: Completion of royalties, permits, and tax filings with the TRA and Ministry of Minerals.
• Step 10 | Cargo Loading: Supervision of final loading and transport under the Buyer’s logistics protocols.
